Increased market competition identifies continuous adjustment and improvement in the production lines of countries to recognize the participation of smaller business units. The free flow of goods and services, the establishment of functioning trade blocs like the European Union, more favorable regulations for foreign direct investment, and e-commerce are now major features of the global market. The introduction of the new division of international labor calls for evaluation and reorganization of the business operations as well as a reassessment of the current technological practices. This agreement entails an acquisition of $242 million and assumption of $750 million in debt by Tempur-Pedic International from Seal Corp. Although Tempur-Pedic Corp and Sealy Corp are both bedding companies, they each took separate paths over the past twenty years. Tempur-Pedic that was founded 1992 and later emerged as the biggest manufacturer of mattresses in 2011. Consequently, its sales revenue rose by 28 per cent attaining a $ 1.42 billion point. Sealy Corp has been operating for 131 years but the rise in Tempur-Pedic resulted in the plunging of its shares by more than ninety per cent in 2006. Consequently, its sales revenue was reduced to $1.23 billion during the 2011 public initial offer (Arora & Mukherjee, 2012). Sealy Corp had H Partners Management LLC as its number one shareholder. The New York based KKR and the Bain Capital are other important shareholders. Tempur-Pedic’s shareholders include Kohlberg Kravis Roberts (myNews, 2012). Tempur-Pedic’s strategic rational Tempur-Pedic aims to expand its operations to cover more than eighty countries globally. Its acquisition of the Seal Corp is a movement towards this direction aimed at strengthening its efficiencies. Its long-term goal is to ensure that its expansion strategy will result in value addition to its global customers, shareholders and retailers. By merging with the Sealy Corp, Tempur-Pedic believes that it will create enough synergy that is instrumental to drive it into attaining this goal. Besides, Tempur-Pedic hopes to take advantage of the two companies’ highly regarded technologies, brands, geographic footprints and products to tap into the significant opportunities (Arora & Mukherjee, 2012). Is the current o ffer of $2.20 per share a fair offer for ZZ? The second quarter of 2012 saw Tempur-Pedic’s cashing $134 million and equivalents. This is despite the fact that it operates with debts, both short and long term of $682 million. This places it in a net debt position of $548 million. Gabriel Oak Essay Thomas Hardy wrote the characters of Bathsheba Everdene and Fanny Robin with specific attributes and details. Both women have similarities and differences that either directly influence each other or other characters. The Victorian class system in the 1870s (which is where Far from the Madding crowd is based) had four distinct classes. Two of those were the upper working class and the lower [working class]. Bathsheba would have probably become upper working or middle, when she inherited the farm. We can see that Bathsheba regards herself as being higher up in the social order, from the first time we see her in the book, by the way she treats Gabriel Oak. (QUOTE (Gabriel Oak giving her money for the gate). ) This expresses her individuality and the way she respects those in a lower class to her, or those she wishes to impress her social stature on. The nobility in the 1870s didnt mix with those lower than them, although they did have responsibility for their workers. For instance, when Fanny Robin goes missing, Bathsheba is worried and concerned about her whereabouts. (QUOTE. Bathsheba asking everyone to keep an eye out for Fanny). Bathsheba has dark hair and bold clothes which represents her personality. As she highlights herself as bold and dark throughout the book (QUOTE). This is in stark contrast to Fanny Robin, who has yellow hair and (QUOTE to describe her appearance). This attire is that of a poor woman and shows that she, aswell as not being able to afford rich clothing, does not have as much esteem as Bathsheba. I think Hardy makes this contrast to show the difference in class and the fact that women are not all the same. (As many men assumed in the 1870s) A strong contrast between Bathsheba and Fanny is highlighted at the beginning of the book. As there is a social hierarchy between the mistress (Bathsheba) and the maid (Fanny) in all households. Bathsheba and Fanny both worked hard for a living. They were both pushed into situations where they were fighting in the wrong class and the wrong sex. For instance Bathsheba inherited a farm and money and had to purport herself as a man at the farmers market. (QUOTE of Bathsheba being at the market) Fanny Robin saw herself becoming the wife of an officer therefore moving herself up in the hierarchy. The Victorian Farming industry was male dominated and therefore Bathsheba was entering a traditionally male world. This allowed her to develop her character from an unpractised girl of Norcombe to a supervising and cool woman. This was noted by Gabriel Oak, who throughout the book acts as another pair of eyes, through which we can see Bathsheba. He speaks of her truthfully and helps the audience understand her and what she is doing. Bathsheba takes on the farming duties because she doesnt want yo fail and is constantly trying to impress herself. Whereas Fanny seems to be desperate just to survive. She was picking up a living of seampstering. By saying picking up I feel that Hardy is trying to express her need to simply get by. Also in the time that this book was written, seampstering was known to be a tough trade, which was very poorly paid, and not a line of work to take up unless it was the last resort. Fannys actions contrast Bathshebas will, not to survive, but to impress. I dont think Bathsheba would have allowed herself to be in such a position to have to take up seampstering, as she had too much pride and many more resources socially. Fanny Robin fits into the 1870s conventions a great deal better than Bathsheba does. I think that this can be related to their childhood and parentage. Convention in the 1870s was very much about women being seen and not heard. It was frowned upon for a woman to converse with strange men. Bathsheba broke this rule as soon as she met sergeant Troy, as she spoke to him and interacted instead of quickly leaving after she was untangled. (QUOTE. Bathsheba meeting Troy and flirting). A woman should always have used a soft voice. Fanny Robin was portrayed as a very quiet woman, and many of the local townsfolk described her as (QUOTE. Her quietness). Bathsheba, however, was very vocal and was able to take charge. For instance, when she took over duties as the bailiff. A woman was never expected to ask anything of a man in the 1870s. Neither Fanny nor Bathsheba fitted this rule totally. In some respects Fanny did, she was very grateful to Gabriel for his help, and wrote a letter of thanks to him (QUOTE. Fannys letter). In other situations Fanny was not as respectable, for instance, she pushed Troy until he finally set a date for their wedding, instead of waiting for him to make his choice. Bathsheba also defies convention when she doesnt thank Gabriel for paying her toll. This shows that she expects Gabriel to do it anyway, and considers herself higher than him. A woman was not to get onto a carriage or a horse. (QUOTE. Of Bathsheba riding horse alone). When Bathsheba rides alone and is, unbeknown to her, seen by Gabriel, she defies all convention. Even if she was alone, a normal Victorian woman would never take the same actions as Bathsheba. Fanny fits almost all convention, and is submissive to men. She would have been a model Victorian woman. This is in contrast to Bathsheba who simply had too much character to be a Victorian woman. For instance she travelled all the way to Bath, on her own, to find Troy. Which in the 1870s would have been unheard of. Bathshebas parents were not typical of the Victorian era. The father himself was (QUOTE. To describe Bathshebas father. ) He had to pretend that he was single so that he didnt have commit adultery to his wife. From this open and modern family, Bathsheba couldnt have been expected to be typical and average. From her parentage she is bold and probably taught not to fit in. Fanny Robin, however, was looked after financially by Boldwood. She was very much closed as a child. The simple fact that she didnt have a strong upbringing implies that she may not have a strong life, or character. The two womens views on marriage are possibly one of the strongest differences between their characters. Bathsheba is quoted to have said I hate to be thought mens property in that way when Gabriel asks her to marry him. This reflects her individuality and a slight insecurity about being tied down with another man. Perhaps because she doesnt know what is round the next corner, and doesnt want to have to be with her husband forever. Fanny Robin was very keen to marry Troy and when she finally had her date set she wrote a letter to Gabriel Oak saying I am happy to say I am going to be married This simple sentence shows the little girl inside Fanny. (That is shown many times during the book). This also shows another contrast between Bathsheba and Fanny. Bathsheba appears to be very much more mature than Fanny. For instance she doesnt like to cry (QUOTE. Bathsheba holding back tears). The rustic characters in Far from the Madding crowd act as narrators throughout the book. They are the comic relief for the audience, and contrast the other characters by having a common view on people like Bathsheba and her family. The other characters such as Liddy, Bathshebas maid, see her as almighty womanish.

Cultural knowledge can be defined by the way it is acquired. Objective and factual information is obtained from others through communication, research and education. Experiential knowledge, on the other hand, can be acquired only by being involved in a culture other than ones own. The more a manager becomes involved in the international arena, the more he or she is able to develop a meta-knowledge; that is, ground rules that apply whether in Kuala Lumpur, Malaysia, or Asuncià ³n, Paraguay. Market-specific knowledge does not necessarily travel well; the general variables on which the information is based to. (Czinkota et all 2009: 73) In a survey of managers on how to acquire international expertise, they ranked eight factors in terms of their importance (see appendix 1). The managers emphasized the experiential acquisition of knowledge. Written materials played an important but supplementary role, very often providing general or county-specific information before operational decisions were made. Interestingly, many of todays international managers have pre-career experience in government, the Peace Corps, the armed force or voluntary work. Although the survey emphasized travel, a one-time trip to New York with a stay at a very large hotel and scheduled sightseeing tours does not significantly contribute to cultural knowledge. Travel that involves meetings with company personnel, intermediaries, facilitating agents, customers and government officials, on the other hand, does contribute. HOWEVER, FROM THE CORPORATE POINT OF VIEW, GLOBAL CAPABILITY IS DEVELOPED IN MORE OAINSTAKING WAYS: FOREIGN ASSIGNMENTS, NETWORKI NG ACROSS BORDERS AND THE USE OF MULTi-country, multicultural teams to develop strategies and programs. At Nestlà ©, for example, managers move around a region (such as Asia or Latin America) at four- or five-year intervals and may serve stints at headquarters for two to three years between such assignments. Such broad experience allows managers to pick up ideas and tools to be used in markets where they have not been used or where they have not been necessary before. In Thailand, where supermarkets are revolutionizing consumer-goods marketing technique perfected elsewhere in the Nestlà © system are being put to effective use. The experience the, in turn, are used to develop newly emerging markets in the same region, such as Vietnam. (Czinkota et all 2009: ) International business success requires not only comprehensive fact finding and preparation but also an ability to understand and fully appreciate the nuances of different cultural traits and patterns. Gaining this interpretative cultural knowledge requires ‘getting ones feet wet over a sufficient length of time. Over the long run, culture can become a factor in the firms overall success. (Czinkota et all 2009: 75) Research has shown that the take-off point for new products (i.e., when initial sales turn into mass-market slaes) is six years, on average, in Europe. However, in northern Europe new products take off almost twice as fast as they do in southern Europe. (when will it fly? The Economist , 9 August 2003, 51) It is important to position the product as a continuous innovation that does not require radical changes in consumption pattern. (Steenkamp and Hofstede, 1999) Since the United States higly regards individualism, promotional appeals should be relevenat to individual empowerement. also messages should be informal and friendly. In opposite situations, marketing communications have to emphasize thet the new product is socially accepted. However, if the product is imported it can sometimes utilize global or foreign cultural positioning. For example in China, individualism is often used for imported products but almost never for domestic ones. (Czinkota et all 2009: 77) Understanding the implications of the dimensions helps businesspeople prepare for international business encounter. For example, in negotiating in Germany one can expect a counterpart whi is through, systematic, very well prepared, but also rather dogmatic and therefore less flexible and willing to compromise. Efficiency is emphasized. In Mexico, however, the counterpart may prefer to address problems on a person and private basis rather than on a business level. This means more emphasis on socializing and conveying ones humanity, sincerity, loyalty and friendship. Also, differences in the pace and business practices of a region have to be accepted. (Czinkota et all 2009: 77) Adjusting to differences requires putting ones own cultural values aside. The following analytical approach is recommended to reduce the influence of cultural bias: 1. define the problem or goal in terms of the domestic cultural traits, habits and norms. 2. Define the problem or goal in terms of the foreign cultural traits, habits and norms. Make no value judgements. 3. Isolate the self-reference criterion influence in the problem and examine it carefully to see how it complicates the problem. 4. Redefine the problem without the self-reference criterion influence and solve for the optimum-goal situation. This approach can be applied to product introduction. If Kellogs Co. Wants to introduce breakfast cereals into markets where breakfast is traditionally not eaten or where consumers drink very little milk, managers must consider very carefully how to instill the new habit. In France, Kelloggs commercials are aimed as muchat providing nutrition lessons as they are at promoting the product. In Brazil, the company advertised on a soap opera to gain entry into the market because Brazilians often emulate the characters of these television shows. ( Czinkota et al 2009: 78) The increase in the overall international activity of firms has increased the need for cultural sensitivity training at all levels of the organization. Further, todays training must encompass not only outsiders to the firm but also interaction within the corporate family as well. However inconsequential the degree of interaction may seem, it can still cause problems if proper understanding is lacking. Consider, for example, the date written as follow: 11/12/04. A European will interpretate this as the 11th of December; an American as November the 12th. Some companies try to avoid the training problem by hiring only nationals or well-travelled individuals for theit international operations. This makes sense for the management of overseas operations but will not solve the training need, especially if transfers to a culture unfamiliar to the manager are likely. International experience may not necessarily transfer from one market to another. The foster cultural sensitivity and acceptanc e of new ways of doing things within the organization, management must institute internal education programmes. The programmes may include: 1. Culture-specific information (data covering other countries, such as video pack and culture grams); 2. General cultural information (values, practices and assumptions of countries other than ones own)and 3. Self-specific information (identifying ones own cultural paradigm, including values, assumptions and perceptions about others). One study found that Japanese employees assigned to the United States get mainly language training as preparation for the task. In addition, many companies use mentoring, whereby an individual is assigned to someone who is experienced and who sends time advising and explaining. Talks given by return
